Terms of Service

1. Acceptance of Terms

By creating an account or using MarginPulse Pro, you agree to these Terms of Service. If you are using the Service on behalf of a business entity, you represent that you have authority to bind that entity. If you do not agree, do not use the Service.

2. The Service

MarginPulse Pro is a financial reconciliation platform that connects to your bank account (via RBI Account Aggregator) and GST portal (via GSP/GSTN API) to provide real-time reconciliation of bank transactions, invoices, and GST filings. The Service is provided on a subscription basis.

The Service is an informational tool. MarginPulse Pro does not provide financial, legal, or tax advice. Reconciliation outputs should be reviewed by a qualified accountant or CA before being relied upon for compliance or reporting purposes.

3. Account Registration

You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity under your account. Notify us immediately at support@marginpulse.in if you suspect unauthorised access.

4. Subscriptions & Payment

Subscriptions are billed in advance on a monthly or annual basis in Indian Rupees inclusive of applicable GST. The introductory ₹999 first-month offer applies to new accounts on any plan. Prices may change with 30 days' notice. Annual plans are non-refundable after 30 days from purchase.

5. Authorised Use

You may use the Service only for your own business's financial reconciliation or, if you are an accountant, for the businesses you are authorised to represent. You may not: resell access to the Service; attempt to reverse-engineer the platform; use the Service to process data for businesses you are not authorised to represent; or attempt to access data belonging to other customers.

6. Data & Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. You own your financial data. You grant us a limited licence to process it for the sole purpose of providing the reconciliation service.

7. Intellectual Property

The Service, including the reconciliation engine, user interface, and all associated software, is owned by MarginPulse Technologies Private Limited and protected by Indian and international intellectual property law. Nothing in these Terms grants you any rights in our intellectual property.

8. Disclaimers

The Service is provided "as is." We do not warrant that reconciliation outputs are error-free or that the Service will be uninterrupted. Bank and GST portal connections depend on third-party infrastructure outside our control. We are not responsible for delays or outages in the Account Aggregator network or GSTN portal.

9. Limitation of Liability

To the maximum extent permitted by Indian law, our total liability to you for any claim arising from use of the Service is limited to the subscription fees paid by you in the 3 months preceding the claim. We are not liable for indirect, consequential, or incidental losses including missed ITC claims, tax penalties, or revenue loss arising from service unavailability.

10. Termination

You may cancel your subscription at any time from Settings. We may terminate accounts that violate these Terms. Upon termination, your data will be available for export for 90 days, after which it will be deleted (subject to legal retention obligations).

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes will be subject to the exclusive jurisdiction of the courts of Bangalore, Karnataka. We encourage resolution of disputes informally first — contact legal@marginpulse.in.
